Re.: Official Letter 184/2021/CVM/SEP/GEA-1 - Request for clarifications
We refer to Official Letter 184/2021/CVM/SEP/GEA-1 ("Official Letter") dated August 06, 2021, transcribed below, through which you requested clarifications from Braskem S.A. ("Braskem" or "Company") regarding the news report published on August 06, 2021 in the "Folha de São Paulo" newspaper, in the Market section, entitled: "Oil company hires bank to sell its stake at Braskem, says agency":
"1. We refer to the news published on this date in the "Folha de São Paulo" newspaper, in the Market section, entitled: "Oil company hires bank to sell its stake at Braskem, says agency", which contains the following statement:
Petrobras has hired JP Morgan as an advisor to sell its stake in petrochemical Braskem, three familiar sources with the matter told Reuters.
2. In view of the foregoing, we determine that you clarify whether the news is true, and, if so, explain the reasons why you understood it was not a material fact, as well as comment on other information considered important on the subject."
With regard to your request, Braskem clarifies that is not part of any eventual discussions between its shareholders about the sale of their interest in Braskem and is not aware of the information contained in the news object of this Official Letter, reason why Braskem requested a response from Petrobras, which responded as follows:
"As disclosed to the market on 04/30/2021 and 06/08/2021, Braskem is part of the portfolio of assets for sale by the Company. In this context, Petrobras confirms that it has hired JP Morgan for financial advice on the eventual and future transaction related to its participation in Braskem. However, said contract does not constitute relevant information, considering the Company's internal rules and applicable legislation. "
